Terms of Service

These Terms of Service ("Terms") govern your access to and use of WorkforceAI, operated by SVN Labs, a division of FifthBoston Holdings Corp. By using our platform, you agree to these Terms. If you don't agree, please don't use our service.

1. Acceptance and Eligibility

By creating an account or using WorkforceAI, you confirm that:

• You are at least 18 years old
• You have the legal capacity to enter binding agreements
• If using on behalf of an organization, you have authority to bind that organization
• You will comply with all applicable laws and regulations

2. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Keeping your account information accurate and up-to-date

We reserve the right to suspend accounts that show suspicious activity or violate these Terms.

3. Acceptable Use

You agree NOT to use WorkforceAI to:

• Generate illegal, harmful, threatening, abusive, or harassing content
• Create misleading content intended to deceive (deepfakes, impersonation, disinformation)
• Produce content that infringes on intellectual property rights
• Generate spam, phishing content, or malware
• Attempt to reverse engineer, decompile, or extract our proprietary technology
• Interfere with or disrupt the platform's integrity or performance
• Circumvent usage limits, security measures, or access controls
• Resell, sublicense, or redistribute access without written consent
• Use the service for competitive analysis or to build competing products

4. Intellectual Property

Your Content

You retain ownership of content you create using WorkforceAI ("User Content"). By using the service, you grant us a limited, worldwide, non-exclusive license to process your User Content solely to provide the service.

Our Platform

WorkforceAI, including its software, design, features, and documentation, is owned by FifthBoston Holdings Corp. You receive no ownership rights in our platform, only a limited license to use it according to these Terms.

AI-Generated Content

Content generated by AI tools may not be unique. Similar prompts may produce similar outputs for different users. You are responsible for reviewing generated content before use and ensuring it doesn't infringe third-party rights.

5. Subscription and Billing

• Pricing: Current pricing is displayed at checkout. We may change prices with 30 days notice.
• Billing Cycle: Subscriptions are billed monthly or annually, depending on your plan.
• Credits: Unused credits do not roll over between billing periods unless otherwise stated.
• Renewals: Subscriptions auto-renew unless cancelled before the renewal date.
• Refunds: Subscription fees are generally non-refundable. We may offer pro-rata refunds at our discretion.
• Failed Payments: We may suspend access after repeated payment failures.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance (with advance notice when possible)
• Experience unplanned outages due to technical issues
• Modify, suspend, or discontinue features at our discretion
• Impose usage limits to ensure fair access for all users

7. Third-Party Services

WorkforceAI integrates with third-party AI providers (OpenAI, Anthropic) and other services. Your use of these integrations is subject to their respective terms. We are not responsible for third-party service availability or their handling of your data.

8. Disclaimer of Warranties

We do not warrant that AI outputs will be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing and validating all generated content.

9. Limitation of Liability

Our total liability for any claims arising from these Terms or your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless FifthBoston Holdings Corp, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, your User Content, or your violation of these Terms.

11. Termination

By You: You may cancel your subscription and close your account at any time through your account settings.

By Us: We may suspend or terminate your access immediately, without notice, for any reason, including violation of these Terms.

Upon termination, your right to use the service ceases immediately. We may delete your data within 30 days of account closure.

12. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.

Informal Resolution: Before filing any claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction: Any legal action shall be brought exclusively in the state or federal courts located in New Jersey.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
